TERMS OF SERVICE.

01. Services
My Chef Social provides marketing, creative, digital, and growth services primarily for restaurants, cafés, bars, and hospitality brands.
Our services may include, but are not limited to:
- Social media strategy and management
- Content creation and creative direction
- Paid advertising, including Meta and Google Ads
- Website design and development
- Search and online reputation optimization
- Restaurant CRM and retention systems
- Email and SMS marketing
- Branding and visual identity
- Menu design and photography
- Public relations and media outreach
- Video and commercial production
- Influencer campaigns and collaborations
- Event and launch marketing
The specific services, deliverables, timelines, fees, and responsibilities for each client will be defined in the applicable proposal, statement of work, service agreement, or other written agreement.
We may modify, improve, add, or discontinue services from time to time.
02. Engagement and billing
Our client engagements are based on the scope of work agreed upon between My Chef Social and the client.
Before work begins, the client may receive a proposal, service agreement, statement of work, or other documentation outlining the applicable services and fees.
Unless otherwise agreed in writing:
- Fees are based on the agreed scope of services.
- Additional work outside the agreed scope may result in additional charges.
- Third-party costs, including advertising spend, software subscriptions, production expenses, printing, influencer fees, media fees, or other external costs, may be billed separately.
- Client payments must be made according to the payment schedule established in the applicable agreement.
- Delayed payments may result in the suspension or delay of services.
- Advertising budgets paid to platforms such as Google or Meta are separate from My Chef Social's service fees unless specifically stated otherwise.
Any applicable cancellation, refund, deposit, or payment terms will be governed by the client's individual service agreement.
03. Client responsibilities
Clients are responsible for providing accurate, complete, and timely information and materials necessary for us to perform the agreed services.
This may include:
- Brand assets and logos
- Menus and pricing
- Photos and videos
- Business information
- Access to social media accounts
- Website and domain access
- Advertising accounts
- CRM or other third-party platforms
- Approvals and feedback
- Any other information reasonably required to complete the work
Clients are responsible for reviewing and approving content, advertisements, designs, website materials, and other deliverables when approval is required.
The client is also responsible for ensuring that information supplied to My Chef Social is accurate and does not infringe the rights of any third party.
Delays in providing information, access, approvals, or feedback may affect project timelines and delivery dates.
04. Account and asset ownership
Ownership of accounts, content, creative assets, and other materials will depend on the applicable service agreement.
Unless otherwise agreed in writing, clients retain ownership of their pre-existing brand materials, including their trademarks, logos, photographs, videos, menus, customer data, and other materials supplied to My Chef Social.
Where applicable, final client-approved deliverables created specifically for the client may be transferred to the client after all outstanding fees associated with those deliverables have been paid.
My Chef Social retains ownership of its pre-existing materials, proprietary processes, strategies, templates, systems, methodologies, tools, know-how, and reusable components.
Third-party platforms and services remain subject to the terms and conditions of their respective providers.
05. Confidentiality
Both My Chef Social and the client may receive confidential or proprietary information during the course of an engagement.
Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized third parties except where disclosure is:
- Required by law;
- Necessary to provide the agreed services;
- Made to employees, contractors, or service providers who need the information to perform their responsibilities; or
- Authorized by the other party.
Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or already known without a confidentiality obligation.
These confidentiality obligations will continue after the engagement ends, subject to applicable law and the terms of any separate confidentiality agreement.
06. Limitation of liability
My Chef Social will use reasonable skill and care in providing its services. However, marketing and business performance can be affected by factors outside our control, including market conditions, competition, platform policies, algorithms, advertising costs, seasonality, customer behavior, and changes to third-party platforms.
Accordingly, we do not guarantee specific results, including a particular number of reservations, customers, leads, followers, sales, revenue, rankings, advertising performance, or return on investment.
To the maximum extent permitted by applicable law, My Chef Social will not be responsible for indirect, incidental, consequential, special, or punitive damages arising from or relating to the use of our website or services.
Our liability, where legally permitted, will be limited to the amount of fees paid by the client to My Chef Social for the services giving rise to the claim during the applicable period specified in the client's agreement.
Nothing in these Terms limits liability that cannot legally be excluded or limited.
07. Termination
Either party may terminate a service engagement according to the termination provisions contained in the applicable service agreement.
My Chef Social may suspend or terminate services if:
- The client fails to make required payments;
- The client materially breaches the applicable agreement;
- The client provides unlawful, fraudulent, or misleading information;
- Continued performance would create a legal, security, or reputational risk; or
- The client engages in abusive or inappropriate conduct toward our team or service providers.
Upon termination, the client remains responsible for fees and approved expenses incurred before the effective termination date, unless otherwise agreed in writing.
Following termination, access to certain third-party platforms, accounts, files, or systems may be affected depending on the applicable arrangements.
08. Governing law
These Terms will be governed by and interpreted in accordance with the laws applicable to My Chef Social and the jurisdiction specified in the applicable client agreement, without regard to conflict-of-law principles.
Any dispute arising from or relating to these Terms or our services will be subject to the jurisdiction and dispute-resolution process specified in the applicable client agreement.
If no separate written agreement specifies a dispute-resolution process, the parties agree to first attempt to resolve the matter through good-faith discussion before pursuing other available remedies.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
My Chef Social reserves the right to update these Terms from time to time. Any updated version will be posted on this website with a revised “Last Updated” date. Continued use of our website or services after an update may constitute acceptance of the revised Terms, to the extent permitted by applicable law.
